1. Agreement
These Terms are an agreement between you and QooQee Inc., which operates Cluinn. By downloading or using Cluinn, you agree to them. If you don’t agree, don’t use the app.
2. The service
Cluinn provides voice dictation, live call transcription and assistance (Calls), and related features for macOS. We may update, change, or discontinue features over time. To keep the service fast and reliable for everyone, we apply reasonable fair-use limits to AI processing. These are set far above ordinary personal use and exist to prevent abuse rather than to ration your work — Section 9 sets out what they are, what happens if you ever reach one, and how they may change.
3. Desktop app licence
We grant you a personal, non-exclusive, non-transferable, revocable licence to install and use the Cluinn app on Macs you own or control, for your own use, while you comply with these Terms. You may not copy (except a reasonable backup), modify, distribute, sell, sublicense, or reverse-engineer the app except where the law allows it despite this limit. The app may update itself automatically.
4. Eligibility & accounts
You must be at least 16 and provide accurate account information. You’re responsible for activity under your account and for keeping your credentials secure.
5. Subscriptions & billing
Cluinn offers a free download and paid plans — currently Basic and Pro — billed through Stripe on a recurring monthly or annual basis until cancelled. By subscribing you authorize recurring charges.
Free trial. Paid plans can start with a 14-day trial. We collect your payment method when the trial begins but charge nothing that day. Unless you cancel first, the plan you chose starts automatically at the end of the trial and your payment method is charged at the price shown when you signed up. The exact amount and date are shown at checkout and sent to you by email before the charge. Cancel any time before the trial ends and you won’t be charged.
A trial includes all Pro features whichever plan you start from, and a fixed allowance of Calls and dictation for the trial period (see Fair use). Encrypted backup does not run during a trial. If the allowance is used up before the 14 days are over, the trial ends and you are not charged.
One trial per person. We may decline to offer a trial, and may end a trial, where we believe this limit is being circumvented or the service is being misused. Declining a trial never prevents you subscribing.
Plan changes: during a free trial, plan changes open once the trial ends. Otherwise upgrades take effect immediately and start a new billing period that day: you’re charged the new plan’s price, less a credit for the unused time on your old plan. Downgrades take effect at the end of the current billing period. Price changes: we’ll give at least 30 days’ notice by email; new prices apply from your next billing cycle, and you can cancel before then.
6. Cancellation & refunds
During a trial: cancelling ends the trial immediately — access stops when you confirm, rather than continuing to the end of the 14 days — and you are not charged. You are told this before you confirm.
On a paid plan: you can cancel any time from your account or the Mac app. Cancellation stops future charges and takes effect at the end of your current paid period — your access continues until then. We do not offer refunds, including for unused time in a billing period, except where required by law. See our refund policy.
7. Your content
You own your recordings, transcripts, snippets, and personas. You grant us only the limited rights needed to operate the service for you — for example, transmitting audio to our transcription providers to produce your transcript, and storing your synced settings.
8. Acceptable use
Don’t use Cluinn to break the law, record people without any consent the law requires of you, infringe others’ rights, or disrupt or reverse-engineer the service. You are responsible for complying with recording-consent laws in your jurisdiction, especially when using Calls. Some jurisdictions require the consent of everyone being recorded — check the rules that apply to you and the people on your call.
9. Fair use and service limits
Why these exist. Cluinn is sold at a flat price, while the transcription and AI behind it are billed to us by the second. The limits in this section exist for one reason: to stop the small number of accounts that are used in ways no individual person uses software — scripted, automated or synthetic audio, recorders left running unattended, one subscription shared between several people, or the service resold or built into something offered to third parties. They are an abuse control, not a ration on your work, and we don’t use them to shape how much you dictate or how many meetings you attend.
They are set far above ordinary use. Every ceiling below sits several times higher than the heaviest genuine individual account we have measured. In normal personal use of Cluinn you should never encounter one, and the overwhelming majority of subscribers never come close. We would rather set them high and almost never apply them than set them low and argue about them.
The limits currently in force. The figures below are generated from the same settings the service actually enforces, so this list is current whenever you read it. On a paid plan:
- Calls — 60 hours of live call transcription and assistance per calendar month, and up to 3 hours in any single call.
- Dictation — 40 hours per calendar month, of which about 5 hours of recorded audio may fall on any one day. A single dictation runs up to 10 minutes end to end.
- Questions about a saved call — up to 50 per call. Questions asked during a live call are not counted or metered.
- Rate limits — reasonable per-request, per-minute and per-day limits on AI features, sized to normal interactive use by one person.
Monthly allowances renew on the 1st of each calendar month, whatever day you subscribed; the daily dictation ceiling clears the following day.
During the 14-day trial the monthly allowances above are replaced by a single fixed pool for the whole trial: 10 hours of Calls and 3 hours of dictation. It does not renew — if it runs out before day 14, the trial ends and you are not charged.
What happens if you ever reach one. Nothing is deleted and nothing you have already recorded is taken away. The app gives you a quiet heads-up once you pass 80% of a monthly allowance, so reaching a limit is never a surprise. If you do reach one, the affected feature simply pauses until the allowance renews; a recording that reaches the maximum single-session length is closed cleanly and everything spoken up to that point is transcribed and saved. Your recordings, transcripts, settings and account stay fully available throughout.
These limits can change, and they vary. We may raise, lower, add or remove limits as our costs, our capacity and the abuse patterns we see change, and different plans, accounts, regions or periods may carry different figures. We apply them in good faith and never to single anyone out. The figures in this section are the ones in force at the time you read them, and the figure the app itself quotes to you is the one that applies to your account. If a change would materially reduce an allowance on a plan you are currently paying for, we will give you at least 30 days’ notice by email or in the app before it takes effect, and you may cancel under Section 6.
If you genuinely need more, ask. If your ordinary personal work really does run past one of these ceilings, write to us at support@cluinn.com. We routinely raise limits for individual accounts at no extra cost, and we would far rather do that than have you run into one.
What we may do about abuse. Where an account’s use is automated, scripted or synthetic rather than a person speaking; where a subscription is shared between people, resold, or used to provide a service to others; or where usage is otherwise plainly inconsistent with individual human use, we may apply a lower limit, slow the service, or suspend or terminate the account under Section 14. Except where the conduct is unlawful or is causing immediate harm or cost, we will contact you first and give you a fair chance to explain or put it right.
No carry-over, no cash value. Unused allowance doesn’t roll over between periods, can’t be transferred between accounts, and has no cash value. Limits apply per account and per person rather than per device: you may install Cluinn on any Mac you own or control (Section 3), and a single allowance is shared across all of them.
10. Third-party services
Cluinn relies on third parties (e.g. Google, Supabase, Stripe). Their terms and availability are outside our control.
11. Intellectual property
Cluinn, its branding, and its software are owned by QooQee Inc. and licensed to you, not sold.
12. Disclaimers
The service is provided “as is”. Transcription, answers, and summaries are automated and may contain errors; don’t rely on them where accuracy is critical without review.
13. Limitation of liability
To the fullest extent permitted by law, QooQee Inc. isn’t liable for indirect or consequential damages, and our total liability is limited to the amount you paid us in the 12 months before the claim.
14. Termination
You can stop using Cluinn at any time. We may suspend or terminate accounts that violate these Terms.
15. Governing law
These Terms are governed by the laws of the Province of Ontario and the federal laws of Canada applicable there, and disputes will be handled in the courts of Toronto, Ontario.
16. Changes
We may update these Terms. If a change is material, we’ll notify you by email or in the app at least 30 days before it takes effect; continued use after that means you accept it.
17. General
If any part of these Terms is found unenforceable, the rest stays in effect. These Terms (with the policies they link to) are the entire agreement between you and QooQee Inc. about the service. You may not assign these Terms; we may assign them as part of a merger, acquisition, or sale of assets. If we don’t enforce a provision, that isn’t a waiver. Neither party is liable for delays caused by events beyond their reasonable control.
